SCA makes US acquisition

SCA makes US acquisition SCA has reached an agreement with the US protective packaging company ISC Inc. and the majority of its shareholders to acquire the company for USD 10 M. The Arizona-based company is a leading supplier of high performance insulated shipping containers for transporting temperature- sensitive products including biopharmaceutical products, blood components and diagnostic samples. ISC is traded over the counter (OTC) and in 2000 annual sales amounted to approximately USD 12 M. The acquisition price corresponds to 6.8 times operating surplus (EBITDA), based on projected earnings in 2001. The acquisition is expected to result in a CVA index of about 1.6, exceeding SCA's weighted average cost of capital (WACC) by at least 60%. Earlier this year SCA acquired Tuscarora Inc., the leading US supplier of packaging systems used to protect goods produced by the high technology, telecommunications, consumer electronics, automotive, and appliance industries. Tuscarora has achieved an average annual growth of 15% in the past six years through organic growth and acquisitions of local and specialized entrepreneurial companies. Tuscarora forms the foundation of SCA's global protective packaging unit and is included as a division of SCA North America.
